The standard terms governing supply of goods and services by Oceania Printing Technologies Limited trading as Ricoh South Pacific.

Effective: 24 May 2026

These Standard Terms & Conditions govern the supply of goods and services by Oceania Printing Technologies Limited trading as Ricoh South Pacific (referred to in this document as the Company, we, us or our) to its customers.

Placing an order with us — verbally or in writing — after these Standard Conditions have been brought to your attention constitutes acceptance of them. In the event of any conflict between an order submitted by the Customer and these Standard Conditions, these Standard Conditions prevail.

  1. Acknowledgement. The Customer acknowledges that the terms and conditions set out in this document govern all transactions between the Customer and Oceania Printing Technologies Limited trading as Ricoh South Pacific.
  2. Agreement. The Customer agrees to adhere to the terms and conditions of this Agreement.
  3. Applicability. These Standard Conditions apply to all orders for our goods or services made by the Customer after the date and time at which these Standard Conditions are first brought to the attention of any employee, officer or representative of the Customer. It is the Customer's responsibility to ensure that these Standard Conditions are brought to the attention of the appropriate officers of the Customer; any order placed after the date and time described above is deemed to be acceptance of these Standard Conditions. References in these Standard Conditions to contract are to these Standard Conditions together with any particular written agreement in respect of the supply of particular consignments of goods or particular services.
  4. Price. Unless expressly quoted, the price of the goods or services is that set in our accounting system applicable at the date of delivery. We reserve the right to vary prices from time to time at our discretion and without notice.
  5. Taxes and Duties. Value-added taxes and duties on the supply of goods or services to the Customer, and any other expenses resulting from exchange-rate fluctuations, customs charges, shortages, or other costs imposed on us for the supply of goods, equipment and accessories, are not included in the price (unless otherwise clearly specified) and are the responsibility of the Customer. Where payment of such expenses is the legal responsibility of Oceania Printing Technologies Limited trading as Ricoh South Pacific, the price is increased by the amount of those expenses. Any increase in such expenses between the date of quotation and the date of delivery is the responsibility of the Customer and the price is increased and debited to the Customer's account accordingly.
  6. Payment. Subject to any provision to the contrary in a contract for the supply of goods or services, payment is generally pre-paid. Consumables, software supplies and service are due and payable 14 days following the date of invoice.
  7. Clear Funds. Receipt of a cheque or other negotiable instrument by Oceania Printing Technologies Limited trading as Ricoh South Pacific does not constitute payment, and the Customer remains liable for the full contract price until such cheque or negotiable instrument is paid in full.
  8. Overdue Accounts. If the Customer is in default of any monies due and owing, then without prejudice to any other rights available to us: (a) we may refuse to supply further goods or services to the Customer until payment is received in full, without penalty; (b) default interest at the rate of 2% per month will be charged from the date payment was due until the date payment is received; and (c) the Customer is liable for all costs, expenses and losses we incur in recovering the amount owing, including full legal costs on a solicitor / client basis.
  9. Property. Property (being both legal and equitable title) in the goods is retained by Oceania Printing Technologies Limited trading as Ricoh South Pacific until the purchase price of the goods and all other goods sold to the Customer has been paid in full. Until property in the goods has passed, the Customer holds the goods as our fiduciary agent and bailee, must ensure the goods are kept separate and identifiable as our property, and must exercise all reasonable care in their storage and handling.
  10. Security. If we consider the Customer's credit to be unsatisfactory, we may require security for payment and may suspend performance until sufficient security is provided. All costs and expenses incurred by us because of such suspension and any re-commencement are payable by the Customer.
  11. Risk. Risk of loss, damage or deterioration of or to goods is borne by the Customer after delivery.
  12. Insurance. Until property in the goods passes to the Customer, the Customer must keep the goods fully insured in the name of Oceania Printing Technologies Limited trading as Ricoh South Pacific and produce evidence of such insurance on our demand. If the Customer defaults in this obligation, we may insure the goods and the cost is payable by the Customer on demand.
  13. Returns. Disputes, credits and returns are only valid if brought to our attention within 10 days of the date of supply. Any such claim must quote the invoice number, and the Customer must complete documentation we require. Software cannot be returned once delivered.
  14. Delivery. Unless otherwise specified by contract, the purchase price of the goods does not include the provision and cost of delivery to the Customer's premises.
  15. Delay. We are not responsible for delays or defaults in delivery of goods or services or any part of them, nor for any resulting direct or consequential loss or damage, where this arises for reasons beyond our control. The Customer's payment obligations are not affected by any such delay.
  16. Installation. Where a contract provides for installation of the goods to be carried out by us, it is the Customer's responsibility to: provide suitable access to the premises in all weather conditions for the vehicles and equipment we need to use; provide all necessary services and amenities to enable installation; ensure the premises and foundations are sound, safe (in accordance with all legislation governing safety in the workplace) and in proper condition for the installation to proceed; provide all plant, material and services to be provided by the Customer at such times and in such manner as to cause us no delay; and provide safe and secure onsite storage for materials and accessories supplied and used by us, our employees and contractors.
  17. Training. Unless otherwise specified by contract, the purchase price of the goods does not include training costs and materials.
  18. Change in Instructions. The Customer must advise us promptly of any decision or instruction which affects an installation.
  19. Warranties. The Customer has, prior to accepting delivery, examined the goods and is satisfied that they are in good working order and condition and suitable for the Customer's purposes. Goods such as Ricoh multifunction devices are subject to a 12-month or 50,000 prints / copies (whichever comes first) manufacturer's warranty only, which covers manufacturing defects only. The manufacturer's warranty does not cover network connectivity faults (scanning, faxing, software) or consumables such as wear-and-tear parts. Service labour required from time to time to ensure the optimum operation of the goods is included during the warranty period, except where required to rectify network faults or faults caused by damage to or misuse of the goods. We will pass on the benefit of these manufacturer's warranties to the Customer without being directly liable to the Customer under any warranty. Where goods are subject to return-to-base warranty, the Customer is responsible for returning the goods to Oceania Printing Technologies Limited trading as Ricoh South Pacific or the manufacturer (as provided by the manufacturer's warranty); the Customer may be responsible for additional costs including freight. Warranty may be voided by damage to or misuse of the goods, problems caused by the use or misuse of software, negligent installation or operation, inadequate packaging and protection from natural phenomena (such as rain) or animals (such as ants and rats), failure to complete preventative maintenance or cleaning when required, repair by unauthorised persons, modifications or the addition of incompatible hardware, or the use of toner, consumables or parts from a supplier other than the manufacturer or Oceania Printing Technologies Limited trading as Ricoh South Pacific.
  20. Unauthorised Use, Installation or Repair. Oceania Printing Technologies Limited trading as Ricoh South Pacific is not liable for any damage caused by the malfunction of goods or their incompatibility with the Customer's systems where this results from: installation by unqualified tradespersons or substandard installation; any addition to, modification of, or change in location of the goods, or their being serviced by personnel not authorised by us; or use of the goods otherwise than in accordance with the manufacturer's instructions.
  21. Liability. In any case our liability — whether in contract, pursuant to any cancellation of any contract, in tort or otherwise — in respect of all claims for loss, damage or injury resulting from an alleged breach of any of our obligations arising under or in conjunction with any contract, from any cancellation of the contract, or from any negligence on our part, our servants, agents or contractors, will not exceed the price of the goods or services in respect of which the liability is claimed.
  22. Holding Out. The Customer must not hold itself out as our servant or agent to any third party and must not do any act or make any omission which has or is likely to have that effect. If the Customer does so, the Customer indemnifies us in respect of any liability incurred because of the Customer's breach.
  23. Default. If the Customer defaults in the due payment of any monies payable to us, whether under the contract or otherwise, or if the Customer is in default of its other obligations under the contract or any other arrangement between us and the Customer, then, without prejudice to any other rights we have, we may suspend any or all contracts and repossess any goods delivered and work performed up to the date of such suspension or termination; any other monies payable become immediately due and payable. In repossessing any goods, our employees or agents may enter the premises of the Customer, and the Customer indemnifies us for any liability in respect of damage caused in doing so.
  24. Insolvency. If the Customer commits any act of bankruptcy, enters into any composition or arrangement with creditors, does any act or makes any omission which would render it liable to be wound up, has a provisional liquidator appointed, has a resolution passed or a petition filed for winding up, has a receiver appointed, or has any lien or other attachment levied over all or any of its assets, then — without prejudice to any other rights we have — we may suspend any or all contracts and repossess any goods. Payment for any goods delivered and work performed up to the date of such suspension or termination, and any other monies payable, become immediately due and payable. In repossessing any goods our employees or agents may enter the premises of the Customer, and the Customer indemnifies us for any liability in respect of damage caused in doing so.
  25. Tolerance. Dimensions, specifications and descriptions contained in or referred to in any contract, or in any catalogues or other publications maintained or issued by Oceania Printing Technologies Limited trading as Ricoh South Pacific, are estimates only. Unless expressly agreed in writing, it is not a condition of any contract that goods or services will correspond precisely with such dimensions and specifications, and reasonable tolerance is allowed.
  26. Standard Conditions Prevail. In the case of any conflict between an order submitted by the Customer and these Standard Conditions, these Standard Conditions prevail.
  27. No Assignment. The Customer may not assign all or any of its rights or obligations under any contract without our prior written consent. A change in ownership or control — whether direct or indirect — is an assignment for the purpose of this clause.
  28. Maintenance Obligations. Subject to any contracted service-level agreement, our service technicians or service agents are available to provide repair and maintenance services during normal working hours (currently 08:30 to 17:00 Monday to Friday, excluding local or public holidays) within reasonable time of request from the Customer, at our standard service labour rate plus travel, sundries and any parts or consumables used. If the Customer requires assistance outside normal working hours, extra charges may apply. All charges for service labour, parts, equipment and other expenses incurred in completing the maintenance are payable by the Customer unless covered by a contracted service-level agreement. These services are chargeable whether the service request logged has been resolved or not.
